Welcome to Certifyd. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Certifyd Inc. ("Certifyd," "we," "us," or "our"), governing your access to and use of the Certifyd platform, website at certifyd.cloud, and all related services, applications, and tools (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Cookie Policy, all of which are incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" and "your" shall refer to both you individually and the organization you represent.
Certifyd is a cloud-based digital certificate and digital badge management platform that enables organizations to design, create, issue, manage, and verify digital certificates and badges. The Service provides tools for certificate template design, bulk issuance, recipient management, unique verification URLs, badge generation, analytics, and integration with third-party platforms.
Each digital certificate and badge issued through Certifyd is assigned a unique verification URL that allows third parties to independently verify the authenticity and validity of the credential. The Service may also include features such as email delivery of certificates, customizable branding, certificate revocation, expiration management, and reporting dashboards.
Certifyd reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify users of material changes to the Service in advance.
To access certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.
You agree to notify Certifyd immediately of any unauthorized use of your account or any other breach of security. Certifyd shall not be liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account with others, create multiple accounts for the same individual, or use another person's account without permission.
You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement. Certifyd reserves the right to suspend or terminate any account that we reasonably believe has been created in violation of these requirements.
Certifyd offers various subscription plans, including free and paid tiers, each with different features, usage limits, and pricing. Details of current plans and pricing are available on our Pricing page. By selecting a paid plan, you agree to pay the applicable subscription fees in accordance with the billing terms presented at the time of purchase.
Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) and will automatically renew at the end of each billing cycle unless cancelled before the renewal date. You authorize Certifyd to charge your designated payment method for recurring subscription fees. All fees are quoted in U.S. dollars unless otherwise stated and are non-refundable except as expressly provided in these Terms or as required by applicable law.
Certifyd reserves the right to modify its pricing and plans at any time. If we change the pricing for your current plan, we will provide you with at least 30 days' advance notice before the new pricing takes effect. Your continued use of the Service after the price change constitutes your acceptance of the new pricing. If you do not agree with the price change, you may cancel your subscription before the new pricing takes effect.
If your payment method fails or your account is past due, Certifyd may suspend access to paid features until payment is received. We reserve the right to engage third-party collection services for any overdue amounts. You are responsible for any applicable taxes associated with your subscription.
The Service, including its original content, features, functionality, design, source code, trademarks, service marks, logos, and all related intellectual property, is and shall remain the exclusive property of Certifyd Inc. and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and international jurisdictions.
Subject to your compliance with these Terms, Certifyd grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes. This license does not include the right to sublicense, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service.
Nothing in these Terms shall be construed as transferring any intellectual property rights from Certifyd to you. All rights not expressly granted herein are reserved by Certifyd.
You retain ownership of all content, data, and materials that you upload, submit, or transmit through the Service ("User Content"), including certificate designs, templates, logos, recipient data, and any text or media included in your certificates and badges. By uploading User Content to the Service, you grant Certifyd a worldwide, non-exclusive, royalty-free license to use, reproduce, process, display, and transmit your User Content solely for the purpose of providing and improving the Service.
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any User Content you submit, and that your User Content does not infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any third party. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
Certifyd does not claim ownership of your User Content. Upon termination of your account, we will make commercially reasonable efforts to make your data available for export upon request, subject to the data retention provisions set forth in our Privacy Policy.
When you issue a digital certificate or badge through Certifyd, a unique verification URL is generated for each credential. This URL allows anyone with access to it to verify the authenticity of the certificate or badge, including the recipient's name, the issuing organization, the credential title, the date of issuance, and its current validity status.
You acknowledge and agree that certificate verification is a core feature of the Service and that verification information will be publicly accessible via the verification URL. You are solely responsible for the accuracy of the information contained in the certificates and badges you issue. Certifyd does not verify, endorse, or guarantee the accuracy, validity, or legitimacy of the underlying achievements, qualifications, or competencies represented by certificates issued through the platform.
You agree not to issue certificates or badges that are fraudulent, misleading, deceptive, or that misrepresent the recipient's qualifications or achievements. Certifyd reserves the right to revoke or disable any certificate or badge that it determines, in its sole discretion, to be fraudulent, misleading, or in violation of these Terms.
Certifyd maintains the right to revoke verification URLs and disable access to certificate verification pages for accounts that are terminated, suspended, or in violation of these Terms.
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Without limiting the foregoing, you agree not to:

Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
If you are an organization using the Service to issue certificates or badges to individuals, you acknowledge that you act as a data controller with respect to the personal data of your certificate recipients. You are responsible for ensuring that you have obtained all necessary consents and legal bases for processing recipient data through the Service, and for complying with all applicable data protection laws. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERTIFYD INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CERTIFYD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO CERTIFYD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CERTIFYD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You agree to defend, indemnify, and hold harmless Certifyd Inc., its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including any intellectual property, privacy, or proprietary right; (d) any User Content you upload, submit, or transmit through the Service; or (e) any certificates or badges you issue through the Service that are fraudulent, misleading, or otherwise in violation of applicable law.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
You may terminate your account at any time by contacting us at support@certifyd.cloud or through the account settings within the Service. Upon termination of your account, your right to access and use the Service will immediately cease.
Certifyd reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to, violation of these Terms, the Acceptable Use Policy, or any applicable law; fraudulent or abusive activity; non-payment of fees; or extended periods of inactivity.
Upon termination, Certifyd may, at its discretion, retain or delete your account data in accordance with our Privacy Policy. Certificates and badges previously issued may continue to be accessible via their verification URLs for a reasonable transition period, or may be disabled, at Certifyd's sole discretion.
All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue of such courts.
Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or the claim shall be permanently barred. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Certifyd reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last updated" date at the top of this page and notify you by email or by posting a prominent notice on the Service at least 30 days before the new Terms take effect.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using the Service and terminate your account before the revised Terms take effect. It is your responsibility to review these Terms periodically for changes.
